IIJ Agrees to Acquire part of its Business from AT&T Japan

TOKYO--June 1, 2010--Internet Initiative Japan Inc. ("IIJ", NASDAQ: IIJI, TSE1: 3774), one of Japan's leading Internet access and comprehensive network solutions providers, has agreed to acquire mainly the domestic network outsourcing service with AT&T Japan LLC ("AT&TJLLC").

IIJ will be acquiring the stock of the new subsidiary ("the New Company") established by AT&TJLLC, that will be succeeding a part of the business provided by AT&TJLLC, AT&T Japan K.K and AT&T Japan Ltd. ("AT&T Japan"). The new company is planned to become IIJ's 100% owned consolidated subsidiary on September 1, 2010 (planned). Through this acquisition, IIJ will be succeeding mainly the WAN services which are mainly provided to approximately 1,600 domestic corporate customers. These WAN services will continue to be provided to the customers.

Through this acquisition, IIJ expects to realize group synergy between the business of IIJ and the New Company by providing IIJ's network solution to the acquired customers through this acquisition, as well as by providing WAN services to IIJ's client bases of over 6,500 corporate customers. Additionally, IIJ will also provide international services through business tie-up with AT&T Japan. Through this acquisition, IIJ expects to strengthen its sales abilities as well as to achieve higher customer satisfaction by realizing group synergy and providing services maximizing the technical skills and the excellent experience of both parties.

IIJ and the New Company will continue to provide the best solution for each of our clients by providing highly value-added network related services.
